1. Introduction & Acceptance of Terms
Welcome to SB Tech. These Terms and Conditions govern your use of our website and all software, web development, and IT consulting services provided by SB Tech (owned and operated by Subhamoy Bhattacharjee). By accessing our website or engaging our services, you agree to be bound by these Terms.
2. Services Provided
SB Tech specializes in providing premium software engineering, web development, mobile application development, UI/UX design, and IT consultation. All service scopes, timelines, and deliverables will be formalised via a separate Statement of Work (SOW) or written contract prior to commencement.
3. Payment Terms & Advance Fees
a) Consultation/Advance Payments: Any advance payments made via our online portal
(e.g., the default ₹5,000 via Razorpay) secure your spot in our development queue and cover initial
discovery/consultation phases.
b) Invoicing: For full projects, invoices will be issued according to the milestones
detailed in your SOW. Payment is due within 7 days of the invoice date unless otherwise specified.
c) Refunds: Advance payments and milestone payments for work already completed are
strictly non-refundable due to the custom nature of software development.
4. Intellectual Property Rights
Upon full payment for the services rendered, the client will be assigned the intellectual property rights to the final custom software or website code built specifically for them. SB Tech retains the right to utilize underlying frameworks, libraries, open-source code, and general knowledge developed during the project for future work and marketing portfolio displays.
5. Professional Disclaimer & Limitation of Liability
THE SERVICES AND SOFTWARE PROVIDED BY SB TECH ARE DELIVERED "AS IS" WITHOUT ANY
WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES
OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
IN NO EVENT SHALL SB TECH, SUBHAMOY BHATTACHARJEE, OR ITS EMPLOYEES BE LIABLE
FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS,
DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE OR INABILITY TO USE THE DELIVERED SOFTWARE OR
WEBSITES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE
AMOUNT PAID BY THE CLIENT FOR THE SPECIFIC PROJECT.
6. Client Responsibilities
The client agrees to provide necessary access, documentation, feedback, and approvals in a timely manner. Delays caused by the client may result in project timeline extensions and potential additional costs.
7. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in West Bengal, India.
